The Yagi Group regards its management philosophy, based on the corporate philosophy of “Consistent Sincerity,” and its Vision as guiding principles. Through building fair relationships with all stakeholders, the Group establishes a commitment to contributing to the development of a sustainable society as the fundamental philosophy of its sustainability activities.
Based on the philosophy set forth in the preceding article, the following policies are established:
(1) With respect to identified key issues (materiality), the Yagi Group will bring together the expertise and networks it has cultivated to date and, through collaboration with stakeholders, work toward their resolution.
(2) Through its business activities, the Yagi Group will contribute to the creation of a sustainable society for a better future, while aiming for its own sustainable growth and the enhancement of corporate value over the medium to long term.
The Yagi Group establishes the following Code of Conduct.
This Code of Conduct is based on international principles and declarations such as the Universal Declaration of Human Rights, the International Labour Organization (ILO) Core Labour Standards, and the Guiding Principles on Business and Human Rights.
The Yagi Group respects the fundamental human rights of all employees and ensures a sound working environment. In order to fulfill its responsibility to identify, prevent, mitigate, and address adverse human rights impacts in its business activities, the Yagi Group will continuously implement human rights due diligence.
(1) Respect for Freedom of Association and the Right to Collective Bargaining
The Group respects employees’ freedom of association and their right to collective bargaining.
(2) Prohibition of Discrimination and Harassment
All forms of harassment and discrimination in the workplace are prohibited. The Group strives to create an environment where colleagues respect and appreciate one another and can work in a healthy and vibrant manner.
(3) Prohibition of Forced Labor and Child Labor
The Group prohibits forced labor and child labor and complies with applicable laws and regulations regarding the employment of young workers.
(4) Respect for Freedom of Opinion and Expression
The Group fosters an environment in which employees can express concerns—including issues related to harassment or discrimination—without fear of retaliation, and respects freedom of opinion and expression.
(5) Occupational Safety, Health, and Well-being
The Group ensures workplace safety and hygiene and pursues a work environment that supports employee health.
The Yagi Group conducts its business activities with a high standard of ethics, complying with the laws, ordinances, regulations, and voluntary industry standards of each country and region.
(1) Fair Transactions
The Group complies with relevant laws such as the Antimonopoly Act and the Subcontract Act, prohibits abuse of a superior bargaining position, and ensures fair and transparent transactions.
(2) Prohibition of Bribery and Corruption
The Group prohibits corruption, bribery, and the offering or acceptance of improper benefits.
(3) Respect for Intellectual Property Rights
The Group respects intellectual property rights held by others—including patents, trademarks, copyrights, and trade secrets—and does not infringe upon them.
(4) Elimination of Antisocial Forces
The Group maintains no relationships whatsoever with antisocial forces or organizations that threaten the order and safety of civil society.
Recognizing that the conservation of the global environment is a critical issue shared by all humanity, the Group contributes to the realization of a sustainable society through initiatives such as resource recycling and the reduction of greenhouse gas emissions.
The Group ensures appropriate information management and highly transparent disclosure.
(1) Information Security
The Group obtains confidential and personal information through legitimate means, strictly manages and stores such information, and uses it within appropriate limits.
(2) Responsibility to Shareholders and Investors
In accordance with applicable laws and regulations, the Group discloses corporate information in a timely and fair manner, enhances management transparency, and strives to engage in constructive dialogue with shareholders and investors.
The Yagi Group extends its Code of Conduct throughout its entire supply chain and promotes responsible procurement and transactions with respect to human rights, labor, the environment, and ethics.
As a good corporate citizen, the Group seeks harmony with society and contributes to the development of local communities.
(1) Collaboration with Local Communities
The Group endeavors to contribute to regional development through its business activities. It also fulfills its corporate social responsibility through constructive dialogue (engagement) with diverse stakeholders, including customers, business partners, and employees.
(2) Provision of Safe and Reliable Products
The Group aims to produce safe and reliable products and strives to ensure quality and safety.
To ensure the effectiveness of this Code of Conduct, the following systems are established:
(1) Response to Violations
In the event of any violation of this Code of Conduct, the Group will promptly implement corrective measures, investigate the causes, and work to prevent recurrence.
(2) Consultation and Reporting Channels
The Group establishes internal and external channels through which concerns or violations related to this Code of Conduct can be reported or discussed, and responds in a fair and appropriate manner. Whistleblowers will not be subjected to any disadvantageous treatment.
The basic philosophy and Code of Conduct set forth in this policy shall be collectively defined as the Policies Related to Sustainability. These policies shall be communicated to all officers, advisors, employees, contract employees, temporary staff, part-time employees, and resident contractors of the Yagi Group (hereinafter referred to as “officers and employees”), and shall also be disclosed externally.
Promotion Structure
In order to promote sustainability, the Yagi Group shall establish a Sustainability Committee (hereinafter referred to as the “Committee”). Furthermore, to ensure the proper operation of matters related to the Committee, a Sustainability Secretariat (hereinafter referred to as the “Secretariat”) shall be established under the Committee. The Secretariat may also establish working groups composed of theme-specific committee member.
Committee
The Chairperson and members of the Committee shall be as follows:
・Chairperson: Representative Director and President & Executive Officer
・Members: General Managers of each division, and officers and employees of the Group appointed by those General Managers
